I forbindelse med endring av kontroll (for eksempel i form av aksjesalg, sammenslåing eller en annen type transaksjon): (a) skal parten som er gjenstand for endring av kontroll, gi den andre parten skriftlig varsel om dette innen tretti (30) dager etter at endring av kontroll har skjedd; og (b) kan den andre parten si opp denne avtalen med umiddelbar virkning når som helst mellom endring av kontroll og tretti (30) dager etter at vedkommende har mottatt det skriftlige varselet i punkt (a).
