Force Majeure (hereinafter "Force Majeure") shall be understood as any circumstance beyond the Seller’s control that temporarily or permanently hinders the execution of any or all of the Seller’s obligations to the Buyer, regardless of whether these circumstances were or were not foreseen at the time of the completion of the order, agreement, contract etc., including but not limited to: governmental actions, dismissal, revocation or cancellation of licences, business closures, forced closure of all or part of the company, war, whether declared or not, fire, transportation problems, accidents, labour riots, shortage of labour, embargoes, temporary or permanent non-delivery of samples, non-rendering of services by third parties regardless of their cause, defects and/or breakdowns in material, machinery, systems and/or software and hardware, absence or lack of material with which to manufacture the Products.

Als höhere Gewalt (nachfolgend „höhere Gewalt“) gilt jeder Umstand, der sich der Kontrolle des Verkäufers entzieht oder zeitweise oder ständig die Ausführung aller oder einiger Pflichten des Verkäufers gegenüber dem Käufer unmöglich macht, unabhängig davon, ob diese Umstände bei der Ausführung des Auftrags, der Absprache, des Vertrags usw. vorhersehbar waren oder nicht, wie beispielsweise: Regierungsmaßnahmen, Verweigerung, Widerruf oder Annullierung von Genehmigungen, Schließung von Unternehmen, Zwangsschließung des Unternehmens oder von Teilen davon, Krieg oder Kriegsgefahr, Brand, Transportprobleme, Unfälle, Arbeitskonflikte, fehlendes Personal, Embargos, zeitweise oder ständige Nichtbereitstellung von Mustern, fehlende Dienstleistungen Dritter ungeachtet der Ursache, Mängel und/oder Beschädigung von Material, Maschinen, Systemen und/oder Software und Hardware oder Fehlen von Werkstoffen zur Fertigung der Produkte.

Se entenderá por fuerza mayor (en adelante, “Fuerza Mayor”), cualquier circunstancia fuera del control del Vendedor que impida, temporal o permanente, la ejecución de todas o alguna de las obligaciones del Vendedor frente al Comprador, independientemente de que estas circunstancias se hayan o no previsto en el momento de la conclusión de un pedido, acuerdo, contrato, etc., tales como, y sin limitación: medidas gubernamentales, rechazo, revocación o anulación de permisos, cierre empresarial, cierre obligado de toda o parte de la empresa, guerra o amenaza de guerra, fuego, problemas de transporte, accidente, disturbios laborales, falta de personal, embargos, no entrega temporal o permanente de muestras, no prestación de servicios por terceros sin tener en cuenta su causa, defectos y/o averías en material, maquinaría, sistemas y/o software y hardware, ausencia o falta de material con los que se fabrican los Productos.
