et que la condition exigée pour finaliser la transaction n'avait pas précédé le PE, étant donné qu'elle lui était ultérieure. La Cour a également déclaré que la condition qui aurait pu faire naître le droit de M. In its decision, the court determined that the MU was enforceable and that the condition to close the transaction did not precede the MOU, as it was subsequent to the MOU. The Court also found that the condition that would trigger Mr. Kay’s option to retrieve his rights in the invention was Quantum’s refusal to enter into the relevant agreements and not the absence of agreement amongst the parties, here mainly caused by Mr. Kay’s refusal to pursue his discussions with Quantum to close the contemplated transaction. Accordingly, the Court confirmed Quantum as the owner of all rights in the invention, and declared the retrocession rights of Mr. Kay forfeited.

The complaint arises out of custody proceedings following Ms. Audrey Isaac's removal of her two young children from the State of California to a reserve in Quebec in violation of a court order from that State. On July 4, 1996, Mr. Justice Ross Goodwin of your Court ordered the return of the children to the United States. The proceedings before you over two years later were to enforce this judgment for the return of the children. Your decision was to the effect that the Goodwin judgment was executory and you ordered the return of the children to the custodial father. Your decision was upheld by a Panel of the Quebec Court of Appeal on April 5, 2001, which concluded that, in light of the California orders related to these children, the Quebec courts lacked jurisdiction to deal with the merits of the custody issue. The Court did observe that "...some of the words used by the judge in the first instance were inappropriate".
